Holly advises family companies, small to medium sized groups, and private equity backed companies, across a wide range of commercial trading sectors with extensive experience of advising family investment property groups. She focuses on transactional tax and in addition specialises in advising on group restructuring such as demergers, shareholder successions, share incentive schemes and employee share related tax issues.

She has more than 30 years of experience, and for the last 15 years has been specialising in all aspects of owner-managed and medium-sized company transactions. Holly has a depth of experience in the many tax issues that arise in deals and creates solutions to fit the exact deal profile. She works closely and pro-actively with shareholders, lawyers, and investors to deal with the practicalities of transactions and to find the right solution.

Holly has worked on numerous tax due diligence projects either as part of a wider due diligence or as stand-alone tax due diligence where the investor is undertaking their own financial diligence. Examples of work include structuring a tax-free demerger of a large family property investment group between the adult siblings; vendor tax advice on disposal of a trading company to private equity investors, involving pre-sale restructuring and rollover advice; and advising private equity investors on structuring the acquisition vehicle and management share investment.
 

About Holly

Holly trained with Arthur Andersen in Cambridge and London and then later worked for EY in the firm’s London based international tax group. She then moved to Chicago with Arthur Andersen before returning to the UK in 2006 to work for HMT for 11 years. Most recently Holly spent four years as a tax advisory partner at PKF Francis Clark. 

In her spare time Holly enjoys dog walking and sea swimming in Devon.
