Quantuma was lead advisor to the vendor on the sale of Total Rail Solutions (TRS) to the management team, backed by Rutland Partners LLP.

Background

Founded in 2007 as a consultancy business, Total Rail Solutions (TRS) is now a leading on-track plant hire and POS provider to the rail industry. Working closely with both Network Rail and its main contractors supporting the construction, maintenance as well as repair of the railways, TRS has successfully established itself as the most reliable and flexible fleet profile in the industry.

Issue

Rutland Partners LLP were established in 1986 as a public company and become a Private Equity firm in 2001, specialising in middle market investments. They make investments in later stage transactions, management buyouts, management buy-ins, public-to-private transactions, turnarounds, restructuring, distressed/vulture, and replacement capital. The firm also invests in underperforming companies that are facing difficult strategic challenges, need restructuring, and are entering a period of change.

Rutland Partners is an investor with a difference, focused on special situations and improving performance through operational and financial change in UK companies.

Outcome

Quantuma was lead advisor to the vendor on the sale of Total Rail Solutions (TRS) to the management team, backed by Rutland Partners LLP. A team led by Quantuma partner Mark Lucas and director Fardeen Nariman provided lead financial advice.

The management team at TRS were advised by Ian Barton, also a partner in the Corporate Finance team at Quantuma.

This deal provides a strong strategic partnership between Total Rail Solutions and Rutland Partners LLP.
